＜2月14日更新＞株主変更に関するお知らせ

本日、株式会社ベネッセホールディングス取締役会において、同社が保有する、弊社、ベルリッツ・ジャパン株式会社のすべての発行済み株式を、Berlitz Corporation（本社所在地：7 Roszel Road, Princeton, New Jersey 08540, United States CEO：Curtis Uehlein）に譲渡することが決議されました。これにより、弊社は、Berlitz Corporationの100％連結子会社となります。
ベルリッツ・ジャパンが提供する事業やサービスは、これまでと一切変更はございません。法人および個人のお客様のご期待に沿えるよう、ベルリッツクオリティの質の高いレッスン・サービスを今後もご提供し続けるよう邁進してまいります。
今後とも変わらぬご愛顧賜りますようお願い申し上げます。

変更前株主 Berlitz Corporation（84.25%）株式会社ベネッセホールディングス（15.75%）
変更後株主 Berlitz Corporation（100％）
なお、Berlitz Corporationは、ILSC Holdings LP（留学事業等の語学教育事業を行うILSC Education Groupを傘下に持ちます）の一員となり、今後、語学・留学領域をますます強化していきます。
また、ベルリッツ・ジャパンおよびBerlitz CorporationのCEOに変更はなく、Berlitz CorporationのCEO（Curtis Uehlein）が、ILSC HoldingsのCEOも兼任いたします。

＜As of February 14＞Notice of Shareholder Change

Today, the Board of Directors of Benesse Holdings, Inc. decided to transfer all outstanding shares of Berlitz Japan, Inc to Berlitz Corporation (Headquarters: 7 Roszel Road, Princeton, New Jersey 08540, United States CEO: Curtis Uehlein). As a result, Berlitz Japan will become a wholly owned subsidiary of Berlitz Corporation.
We would like to stress this will not bring any change to the operations or services provided by Berlitz Japan and our corporate and consumer customers can be confident that we will continue to provide high quality Berlitz lessons and services that meets their expectations.

Scheduled date of transfer : Feb 14, 2022.
Controlling shareholder prior to change: Berlitz Corporation (84.25%) Benesse Holdings, Inc. (15.75%)
Controlling shareholder after change: Berlitz Corporation (100%)
Berlitz Corporation will become a member of ILSC Holdings LP (which owns ILSC Holdings, a provider of language education, including study abroad) and will continue to strengthen its language and study abroad business.
There will be no change in the President & CEO of Berlitz Japan and Berlitz Corporation, and the CEO of Berlitz Corporation (Curtis Uehlein) will also serve as CEO of ILSC Holdings.
